This position provides an exciting opportunity to play an important role in supporting Good Shepherd ANZ governance approach as well as supporting development of our next organisation-wide Strategic Plan. In this unique and dynamic position, the Company Secretary has a joint purpose: Develop a best practice structure for Good Shepherd Australia New Zealand’s (GSANZ) and Good Shepherd Services (GSS) Board governance; and support the CEO in relation to high level executive, secretariat and project services including providing strategic advice, managing communications, and implementing strategies to support the achievement of GSANZ Strategy.

Responsibilities
Key deliverables for this role include:
- Efficient administration of each of the subsidiaries of the GSANZ group, to ensure compliance with statutory and regulatory requirements and that decisions of the Board of Directors and Board Committees are implemented.
- Oversight of the corporate governance functions of each of the Australian subsidiaries, which includes all advisory work, management of the convening and conduct of Board & Board Committees, Governance Risk Committee and licensing and compliance obligations.
- Liaising with the Board and all other work required to ensure that each GSANZ entity meets its corporate governance requirements and objectives in an efficient and effective manner.
- Monitoring and reporting to the CEO on strategic and operational projects to inform decision making and support achievement of the objectives of GSANZ.
- Issues management and support to the CEO, responding to emerging issues to ensure effective resolution with minimal risk to the organisation.
- Maintaining relevant stakeholder relationships through effective communication, negotiation and issues management to resolve conflicting demands upon the CEO’s time from key stakeholders.
Qualifications and Experience
You will bring a practical, pragmatic and solution-focused mindset, combined with strong organisational skills, issues management expertise, and exceptional stakeholder management capabilities.
To be successful in this role, you will require:
- Degree qualification in relevant business studies (MBA/MPA) or relevant experience. Formal qualifications in Corporate Governance or the law is desirable, but not essential.
- Company Secretarial experience including experience dealing with Boards of Directors and senior executives, ideally in the not-for-profit sector
- Membership of the Governance Institute of Australia or equivalent is desirable
- Broad and practical understanding of the regulatory environment as well as aspects of key legislation relating to Company Secretarial duties and corporate governance
- Strong Project Management experience gained from leading and participating in major projects
You will need to provide evidence of full Covid-19 vaccination, or medical exemption.
